Agreement to Terms
These Terms and Conditions ("Terms") govern your access to and use of the Elite Models Dubai website, services, and applications (collectively, the "Services"). Please read these Terms carefully before using our Services.
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.
Definitions
- "Company" refers to Elite Models Dubai, with registration number 89860005, located at Flat 21 Max Cape Lake Ian, RG27 8PG, Dubai, UAE.
- "Services" refers to the Elite Models Dubai website, modeling agency services, bookings, events, and related applications provided by the Company.
- "User" refers to any individual who accesses or uses our Services, including models, clients, and website visitors.
- "Client" refers to any individual, company, or organization that books models through our Services.
- "Model" refers to any individual who is represented by or registered with Elite Models Dubai.
Use of Our Services
Eligibility
You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you are at least 18 years old and that you have the legal capacity to enter into these Terms.
Account Registration
Some parts of our Services may require you to create an account. When you create an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your account password confidential and secure
- Be responsible for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate your account if any information you provide is inaccurate, outdated, or incomplete, or if we believe you have violated these Terms.
Prohibited Uses
You agree not to use our Services:
- In any way that violates any applicable federal, state, local, or international law or regulation
- To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
- To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services
- To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services
- To attack the Services via a denial-of-service attack or a distributed denial-of-service attack
- To use any data mining, robots, or similar data gathering or extraction methods
- To engage in any other conduct that could damage, disable, overburden, or impair the proper working of the Services
Model Services & Booking Terms
For Models
By registering as a model with Elite Models Dubai, you agree to:
- Provide accurate and complete information about your measurements, experience, and abilities
- Update your information promptly when changes occur
- Be available for bookings as agreed upon with the Company
- Maintain a professional appearance and conduct in accordance with industry standards
- Adhere to booking commitments and arrive punctually for all assignments
- Follow all reasonable directions from clients during assignments
- Notify the Company immediately of any issues that may affect your ability to fulfill a booking
Models understand that the Company acts as an agent to secure modeling opportunities but does not guarantee any specific amount of work or income.
For Clients
By booking models through Elite Models Dubai, clients agree to:
- Provide accurate and complete information about the booking, including date, time, location, nature of the work, and fees
- Maintain a safe and professional working environment
- Treat models with respect and professionalism
- Pay all agreed-upon fees and expenses according to the payment terms
- Notify the Company immediately of any changes to the booking or any issues that arise
- Obtain proper releases and permissions for the use of model images
- Not contact models directly for bookings outside of the Company's services
Booking Process
All bookings must be made through the Company. The booking process generally involves:
- Client submits a booking request with specific requirements
- Company proposes suitable models for the client's consideration
- Client selects model(s) and confirms the booking details
- Company issues a booking confirmation with terms and conditions
- Client provides deposit payment as required
- Company confirms the booking with the selected model(s)
A booking is not considered confirmed until the Company has issued a written confirmation and any required deposit has been received.
Cancellation Policy
Cancellation terms vary based on the type and scale of the booking. General cancellation terms are as follows:
- Cancellations by clients with less than 48 hours' notice may result in a cancellation fee of up to 100% of the booking fee
- Cancellations by clients with 48-72 hours' notice may result in a cancellation fee of up to 50% of the booking fee
- Cancellations by clients with more than 72 hours' notice may not incur a cancellation fee, but administrative fees may apply
- Cancellations by models may result in professional penalties, including potential termination of representation
Force majeure events (such as natural disasters, political unrest, or public health emergencies) may affect these cancellation terms.
Intellectual Property
Company Content
The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United Arab Emirates and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as follows:
- Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials
- You may store files that are automatically cached by your Web browser for display enhancement purposes
- You may print or download one copy of a reasonable number of pages of the website for your own personal, non-commercial use and not for further reproduction, publication, or distribution
- If we provide social media features with certain content, you may take such actions as are enabled by such features
Model Portfolios and Images
Models represented by Elite Models Dubai retain copyright ownership of their images but grant the Company a non-exclusive license to use, reproduce, distribute, and display their images for marketing, promotion, and business purposes. Clients who book models through the Company obtain limited rights to use model images in accordance with the specific terms of each booking agreement.
Unauthorized use of model images by any party is strictly prohibited and may result in legal action.
Privacy and Data Protection
Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at Privacy Policy to understand our practices regarding your personal information.
Fees and Payment
Model Fees
Model fees are established on a project-by-project basis and are agreed upon before booking confirmation. The Company typically charges a commission on model bookings, which is deducted from the model's fee before payment is made to the model.
Client Payments
Clients are required to pay for bookings in accordance with the payment terms specified in the booking confirmation. Typically, this includes:
- A deposit (usually 50% of the total fee) to confirm the booking
- The remaining balance due within 7-14 days after the completion of the booking
For larger or extended bookings, different payment schedules may be arranged. All payments are to be made directly to Elite Models Dubai, not to individual models.
Late Payments
Late payments may be subject to late fees and interest charges. Continued non-payment may result in:
- Suspension or termination of future booking privileges
- Reporting to credit agencies
- Legal action to recover amounts owed
Liability Limitations
Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
Indemnification
You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.
Dispute Resolution
Governing Law
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the laws applicable in the Emirate of Dubai.
Jurisdiction
Any legal action or proceeding arising out of or relating to these Terms or the Services shall be instituted exclusively in the courts of Dubai, United Arab Emirates, and you irrevocably submit to the jurisdiction of such courts in any such action or proceeding.
Informal Resolution
Before filing a claim against the Company, you agree to attempt to resolve the dispute informally by contacting the Company at [email protected]. The Company will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, either party may proceed with a formal claim.
Changes to These Terms
We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Services thereafter.
Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.
Termination
We may terminate or suspend your access to all or part of the Services, including any account or registration, immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Miscellaneous
Entire Agreement
These Terms, our Privacy Policy, and any other agreements expressly incorporated by reference herein constitute the sole and entire agreement between you and Elite Models Dubai regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
Waiver
No waiver by the Company of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
Severability
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without the Company's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. The Company may freely assign or transfer these Terms without restriction.
